Terms of Service & Privacy

PharmacyIQ is a technology and ordering platform. It connects licensed clinics and providers with licensed compounding pharmacies so that a prescriber-signed order can be routed to a pharmacy permitted to fill it.

PharmacyIQ is not a pharmacy, prescriber, wholesaler or manufacturer. PharmacyIQ does not dispense, compound, manufacture, ship or take title to any medication, does not practice medicine or pharmacy, and does not direct any clinical decision. Compounded preparations are not FDA approved. The prescriber and the dispensing pharmacy are responsible for the clinical and professional judgment behind each order; the pharmacy that fills an order is named on every shipment.

Accounts are for licensed clinics and providers only, and for the authorized users a clinic adds to its own roster. You represent that the information you provide — including NPI, state licensure and DEA registration where applicable — is accurate and current, and you agree to keep it so.

Every login is reviewed and approved before it opens a workspace. You are responsible for safeguarding credentials, for enabling any multi-factor authentication we require, and for all activity that occurs under your account and the accounts of users you invite. Tell us promptly if you believe an account has been compromised. We may suspend or close an account that is inaccurate, misused, or out of compliance with these terms.

Use of the platform is subject to PharmacyIQ’s platform / technology access fee, set out in your fee schedule (Schedule A) and authorized separately at onboarding. The fee is a fixed platform fee per transaction, set in advance by service tier. It is not a percentage of, share of, or mark-up on the price or quantity of any product, and it is billed separately from medications.

PharmacyIQ may amend the fee schedule — including fee amounts, service tiers, billing mode and collection timing — at any time and for any reason, including to comply with applicable law or regulation; to respond to FDA, DEA, state board, payment-network, processor, certification (e.g. LegitScript) or other regulatory, audit or enforcement requirements; to reflect changes in pharmacy, vendor or processing costs; or to preserve the lawful and continuous operation of the platform. We will give written notice of a change (email to your billing contact and notice in the platform), and a change takes effect on the earlier of your acceptance and the end of the notice period stated in the notice — not less than fourteen (14) days, except where a shorter period is required by law, regulator, processor or certification body.

Changes are prospective only and do not alter the fee already snapshotted onto a transaction you have submitted. If you do not accept a change you may stop using the platform; fees already incurred remain payable.

Medications are billed to your clinic by the pharmacy platform directly, on the payment method your clinic holds there. PharmacyIQ never charges, collects, holds or remits money for medications and never handles medication funds. Pricing, availability and fulfillment of any preparation are set by the dispensing pharmacy, not by PharmacyIQ.

You agree to use the platform only for lawful clinical ordering, and you will not:

• violate any applicable pharmacy, DEA, state board, FDA or other federal or state law, regulation or professional standard;
• divert medication, or resell, redistribute or transfer office stock or any preparation obtained through the platform;
• order without a valid patient relationship and a lawful prescription where one is required, or misstate a patient, provider or clinical need;
• share credentials, circumvent access controls, or use the platform to build a competing dataset or service; or
• upload malware or attempt to disrupt, probe or reverse-engineer the platform.

You are responsible for your clinic’s and your users’ compliance with all of the above.

The platform is provided “as is” and “as available.” To the fullest extent permitted by law, PharmacyIQ disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. PharmacyIQ does not warrant that the platform will be uninterrupted or error-free, and it is not responsible for the clinical appropriateness, safety, quality, labeling or fulfillment of any medication, which are the responsibility of the prescriber and the dispensing pharmacy.

To the fullest extent permitted by law, PharmacyIQ will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. PharmacyIQ’s total liability arising out of or relating to the platform will not exceed the platform fees you paid to PharmacyIQ in the twelve (12) months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited under applicable law.

We may update these terms from time to time. Each version carries an effective date and version identifier, shown at the top of this page; the current version is 2026-09-18, effective September 18, 2026. When we make a material change, we will update the effective date and ask you to re-accept at sign-in. We record each acceptance — the version you accepted, when, and from where — so both sides can tell which terms were in force. Your continued use of the platform after an update takes effect constitutes acceptance of the updated terms.

These terms are governed by the laws of the State of [Governing state], without regard to its conflict-of-laws rules, and the state and federal courts located there have exclusive jurisdiction over any dispute, except where applicable law provides otherwise.
